# MSCI Q3 and the ESG Licence Nobody Has to Buy — InvestMoat Research

_Europe's ESG-rating rule took effect in July, and MSCI's ESG and climate business kept losing run rate in Q3 while its index business lifted retention to 97.1%. A rule locks customers in when it binds the buyer, and this one binds only the seller._

## Summary

MSCI's Q3 2026 results split the company in two. Index organic subscription run-rate growth rose for a fourth straight quarter to 11.7% and retention rose to 97.1% from 95.8%, while Sustainability and Climate slowed to 2.4%, with retention down to 91.0% from 93.6% and net new recurring sales below zero, in the first quarter under the EU ESG Rating Regulation. That regulation licenses rating providers and says it is not intended to regulate how ratings are used, so it obliges no investor to buy one, while an index named in a fund prospectus costs the fund a filing and a notice to its investors to drop. Across MSCI, S&P Global, Moody's, ICE and FICO, the regulatory moats that formed are the ones that began by binding the buyer, and the rating agencies and FICO show that lock-in can outlast the rule once it has formed. The ESG ratings business never had that buyer rule, which is why I think the new licence does not protect it, though one quarter cannot test the rule and MSCI says European supplier consolidation is helping it.

## What would prove this wrong

By MSCI's Q2 2027 results, Sustainability and Climate retention is at or above 93.5% in both Q1 2027 and Q2 2027, and the segment's organic recurring subscription run-rate growth is back above 5%. That would mean the EU licence, or the European supplier consolidation management describes, is pulling buyers back, and my argument that a rule binding only the seller does not lock customers in is wrong.

_Status as of October 25, 2026: **holding**._

Index retention, Q3 2026: 97.1% · Sustainability and Climate retention, Q3 2026: 91.0% · MSCI price: (live) · MSCI composite: 80

Europe's rule for ESG raters began to apply on July 2, and the common view, which MSCI's own chief executive has voiced, is that rules like that help the big incumbents. **I think a rule only locks customers in when it binds the buyer, and this one binds only the seller.** MSCI's first quarter under it, reported October 20, shows no sign of the rule pulling buyers in. Its ESG and climate business renewed less than a year earlier for the fourth quarter running, while its index business lifted retention to 97.1% from 95.8%.

For MSCI holders this is mostly good news. The ESG and climate segment is about a tenth of run rate, and the index, which is the moat, is getting stronger. The question is what the framework should count as regulatory lock-in, and MSCI happens to run both kinds of rule under one roof.

**Retention is the share of subscription run rate that renewed, annualised. Index was above its year-earlier level all year. Sustainability and Climate was below its year-earlier quarter in every one of the four. This is the number the falsifiable claim tests.**

| Period | Index | Sustainability and Climate | Sustainability and Climate, a year earlier |

| Q4 2025 | 95.3% | 91% | 93.1% |
| Q1 2026 | 96.9% | 93% | 94.5% |

Growth tells the same story. Index organic subscription run-rate growth went from 9.3% in Q4 2025 to 11.7% in Q3, and Sustainability and Climate went from 4.9% to 2.4%, with net new recurring sales of minus $1.1M in the quarter. On the call management blamed one large client cutting its sustainability spending and said the pressure would last through Q4.

**MSCI's two halves in Q3 2026. Sustainability and Climate is $384.8M of $3,571.9M total run rate.**

| Segment | Organic subscription run-rate growth | Retention | Net new recurring sales |
| --- | --- | --- | --- |
| Index | 11.7% (9.3% in Q4 2025) | 97.1%, and 98% among asset managers | $27.4M |
| Sustainability and Climate | 2.4% (4.9% in Q4 2025) | 91.0% | −$1.1M; Q4 guided roughly flat to slightly positive |

## Who has to file paperwork to leave

An MSCI index is named in a fund's prospectus and in pension mandates. To drop it, the fund files a change, tells its own investors, and accepts a period where it tracks its old benchmark badly. The cost of leaving sits with the customer, and that is the cost that keeps Index renewals near 97%.

**What the EU ESG Rating Regulation does and doesn't do. Recital 16 says it governs the issuing, distribution and publication of ratings without being intended to regulate their use. It expects EU users to work with authorised or registered providers, which steers which seller they use but creates no duty to buy.**

| Date | What happens | Who it binds |
| --- | --- | --- |
| July 2, 2026 | Regulation applies; ESG rating providers in the EU need ESMA authorisation | Rating providers |
| July 9, 2026 | ESMA's first list of firms that notified it includes MSCI Solutions (Deutschland), Sustainalytics and Clarity AI | Rating providers |
| September 10, 2026 | 34 small providers registered under the lighter temporary regime; MSCI is not among them | Small rating providers |
| November 2, 2026 | Deadline to apply for authorisation; after it, third parties may only republish ratings from providers on ESMA's register | Rating providers and anyone who republishes a rating |
| No date | Any duty on an asset manager or bank to buy an ESG rating | Nobody |

The cost of this rule lands on MSCI. It has to be authorised and run its ratings to ESMA's standards, and so does every rival that wants to stay. A client that uses ratings internally and trims its sustainability budget faces no filing, no notice to investors and no tracking problem. **It just doesn't renew.**

> **Who pays to leave** — For any regulatory moat, ask who has to file paperwork to switch. If it is the customer, the rule can create lock-in. If it is only the vendor, the rule is a cost of doing business that every licensed rival pays too.

## The same question across five financial-data names

InvestMoat rates each company's moat pillars as strong, intact, weakened or destroyed. The matrix shows regulatory lock-in next to the record and data pillars for five names that sell ratings, scores, benchmarks or market data.

**Regulatory lock-in, system of record and proprietary data for five financial-data names. Statuses are read live from each stock's analysis.**

| Ticker | Regulatory Lock-In | System of Record | Proprietary Data |
| --- | --- | --- | --- |
| [MSCI](https://www.investmoat.com/stocks/msci) | strong | strong | strong |
| [SPGI](https://www.investmoat.com/stocks/spgi) | strong | strong | strong |
| [MCO](https://www.investmoat.com/stocks/mco) | strong | strong | strong |
| [ICE](https://www.investmoat.com/stocks/ice) | intact | strong | strong |
| [FICO](https://www.investmoat.com/stocks/fico) | destroyed | strong | strong |

FICO is the clearest case. Its lock-in was a buyer rule: lenders selling mortgages to Fannie Mae and Freddie Mac had to pull a FICO score. The FHFA has since let lenders use VantageScore, and on September 28 announced one pricing grid for both, so the framework moved the pillar to destroyed. What's interesting is that most lenders haven't left yet, which [our FICO piece](/research/fico-the-mandate-was-already-priced) tracks. The rule created the habit, and the habit is outlasting the rule, at least so far.

The rating agencies went through the same thing earlier. The NRSRO label began in 1975 as a buyer rule, letting broker-dealers count highly rated bonds against their capital. After 2010 Dodd-Frank told US agencies to strip most rating references out of their rules (the SEC [removed them from money-market fund rules](https://www.sec.gov/files/rules/final/2015/ic-31828.pdf) in 2015), yet [SPGI](/stocks/spgi) and [MCO](/stocks/mco) kept their share, and insurer capital rules and Europe's bank rules still lean on recognised ratings. ICE sits in the middle: CME, Cboe and Nasdaq hold the same exchange licences and no rule sends a trader to ICE, so the framework rates that pillar intact.

MSCI's ESG ratings and data never had the buyer rule that created those habits, and the EU licence doesn't add one. Its ESG indexes are a different matter: they sit in prospectuses and are booked in the Index segment. On the [MSCI](/stocks/msci) page I've taken the ESG ratings out of the regulatory lock-in and proprietary data notes in this update. Neither rating moved, because both already rested on the index.

## The case that the licence still pays

The strongest objection comes from MSCI itself. On the Q4 2025 call the chief executive said MSCI was benefiting from a consolidation of ESG data and ratings suppliers in Europe, including a deal where a client dropped another provider for MSCI. The chief financial officer said Sustainability and Climate retention was higher in Europe than in the Americas, the reverse of the rest of the company, and the releases credited Europe with most of the segment's growth in Q4 2025, Q1 and Q2. Read that way, the licence is already thinning the field where it applies, and US cancellations are swamping it. I can't separate the two with the disclosed numbers, and I think that is a fair reading.

**What MSCI management said about Europe on the Q4 2025 call, the most recent call with a regional breakdown.**

| Speaker | What they said |
| --- | --- |
| Chief executive | MSCI is benefiting from a consolidation of suppliers of ESG data, ratings and analytics in the European market; the recovery in Europe is taking place, though not at the pace MSCI would like |
| Chief executive | On a wealth platform deal, MSCI became the supplier of choice and the client eliminated the other supplier |
| Chief financial officer | Company-wide retention was slightly below 93% in EMEA and slightly above 94% in the Americas in Q4; Sustainability and Climate was the exception, with higher retention in EMEA |

_Figures as of Q4 2025 — MSCI earnings call, January 28, 2026. Source: [MSCI Inc. fourth quarter 2025 earnings conference call transcript](https://www.financialfilings.com/filings/msci-inc/call-transcript/2026/48475240/)._

The second objection is timing. One quarter can't test a rule that hasn't been enforced. ESMA's September 10 list shows 34 small providers registered and no large provider, MSCI included, applications are due November 2, and the slide started in 2025, before the rule applied, when US asset managers pulled back from ESG under political pressure. The November 2 cut-off also has a buyer-side edge: a fund that quotes ratings in its marketing will only be able to use registered providers. That doesn't make anyone buy, but it can make small rivals unusable for those clients.

The third is that the index side isn't as clean as I've made it. Vanguard moved 22 funds off MSCI benchmarks in 2012 because the fee saving beat the paperwork, so prospectus lock-in has a price. And a strong market lifts index retention and fees together, which flatters the comparison this year.

I still hold the view, for a narrower reason than the opening might suggest. Consolidation in Europe helps the survivors win share of a budget, but nothing in the rule makes the budget exist. If the licence and the consolidation are pulling buyers in, segment retention should be back to about 93.5%, near its 2025 levels, by mid-2027, and the falsifiable claim is set at that line.

## Q4 retention and the November 2 cut-off

- Sustainability and Climate retention in Q4 2026 against 91.0% in Q4 2025, and net new recurring sales against management's guide of roughly flat to slightly positive.
- Whether ESMA authorises MSCI Solutions (Deutschland), and how many large raters are still on its register after November 2.
- Any EU rule that requires a fund or bank to use an authorised rating. That would add the buyer half, and I would expect the retention line to turn.
